1. Introduction

These Terms of Service ("Terms") govern your use of the SimonTodd website and any services provided by SimonTodd ("we", "us", "our"). By accessing our website or engaging our services, you agree to these Terms.

2. Services

We provide digital design, development, and related services as described on our website and in individual project proposals. Specific terms for each engagement will be detailed in a separate project agreement or statement of work.

3. Project Agreements

All project work is governed by a written agreement that will include:

• Detailed scope of work
• Timeline and milestones
• Payment terms and schedule
• Intellectual property provisions
• Revision and approval processes

4. Payment Terms

Unless otherwise specified in your project agreement:

• A deposit is required to secure project scheduling
• Milestone payments are due upon completion of each phase
• Final payment is due before project handover
• Invoices are payable within 14 days unless otherwise agreed
• We reserve the right to pause work if payments are overdue

5. Intellectual Property

Client Materials

You retain ownership of all materials you provide to us (logos, content, images). You warrant that you have the right to use these materials.

Work Product

Upon full payment, you receive ownership of the final deliverables as specified in your project agreement. We retain the right to use work for portfolio and promotional purposes unless otherwise agreed.

Third-Party Assets

Some projects may incorporate third-party assets (fonts, images, plugins) subject to their own licences. We will advise you of any such requirements.

6. Client Responsibilities

To ensure successful project delivery, you agree to:

• Provide required materials and feedback in a timely manner
• Designate a primary contact for project communications
• Review and approve work within agreed timeframes
• Ensure accuracy of provided content

7. Revisions

Project agreements will specify the number of revision rounds included. Additional revisions beyond the agreed scope will be quoted separately.

8. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except as necessary to deliver our services or as required by law.

9. Warranties & Liability

We will perform services with reasonable skill and care. However:

• We do not guarantee specific results (e.g., search rankings, sales increases)
• Our liability is limited to the fees paid for the specific service
• We are not liable for indirect, consequential, or incidental damages
• You are responsible for backing up your own data

10. Hosting Services

For clients using our managed hosting services, additional terms apply including uptime commitments, backup policies, and acceptable use provisions. These are detailed in the hosting service agreement.

11. Termination

Either party may terminate an engagement with written notice. Upon termination:

• Payment is due for all work completed to date
• Completed deliverables will be provided upon payment
• Deposits are non-refundable unless otherwise agreed

12. Website Use

When using this website, you agree not to:

• Use automated systems to access the site
• Attempt to gain unauthorised access
• Use the site for unlawful purposes
• Reproduce content without permission

13. Governing Law

These Terms are governed by the laws of Northern Ireland. Any disputes will be subject to the exclusive jurisdiction of the courts of Northern Ireland.

14. Changes to Terms

We may update these Terms periodically. Continued use of our services constitutes acceptance of updated Terms.
